2. Scope of license 

• When you become an owner of ”Portraits Of My Soul”  NFT you own the non-fungible token (the  digital token recorded on the blockchain), but you don’t own the art associated with it. • You agree that ”Portraits Of My Soul”  own all legal rights, title and interest in and to all elements of  the art, which protected by relevant laws.

• When you become owner, we grant you a personal, non-exclusive license. • You undertake not to use the art associated with ”Portraits Of My Soul”  NFT in any way that is illegal  in accordance with the relevant laws that currently exist and / or will exist in the future. • All rights and obligations arising from these Terms of Use will apply as long as you own the  ”Portraits Of My Soul”  NFT. Once you sell and / or transfer ownership to new owner, all those rights  and obligations will immediately and automatically transfer to the new owner. 

3. RESTRICTIONS 

• You agree and confirm that you will not perform yourself and / or will not allow others to make  or allow to make any change of any kind and / or type in the art associated with ”Portraits Of My Soul”   NFT including, without limitation, the designs, drawings, shapes, or color. 

• To not use the art associated with ”Portraits Of My Soul”  NFT to market and/or advertise and/or to  sell any product or service. 

• To not use the art associated with ”Portraits Of My Soul”  NFT for the purpose of commercialization  and / or carrying out a commercial use for you and/or a third party and / or for the commercial  profit of you or any third party. 

• To the extent that the ”Portraits Of My Soul”  NFT you own includes third party intellectual property  rights of any kind or type (athlete, artist, any public figure or commercial company) you agree  and declare that you will not perform any action of any kind and type in the intellectual property associated with ”Portraits Of My Soul”  NFT except in accordance with these Terms of Use or after  receiving specific permeation from this third party and ”Portraits Of My Soul”  NFT 

4. ROYALTIES 

• ”Portraits Of My Soul”  Has the exclusive right to determine the number of percentages to which it is  entitled in any future sale of ”Portraits Of My Soul”  NFT as the owner of the Art. • ”Portraits Of My Soul”  will be entitled to a payment of 7.5% percent of any future sale of ”Portraits Of My Soul” NFT in relevant marketplace. 

• ”Portraits Of My Soul”  commits and undertakes to re-invest half of the royalties paid in every future  sale in the community for the purpose of increasing its value. 

• To the extent that ”Portraits Of My Soul”  will use the art associated with the ”Portraits Of My Soul”  NFT that you own commercially you as owner will be entitled to 20% of the royalty of all income generating from such activity, after deducting all expenses of any kind and type incurred for  this commercial use. To the extent that the use is made in number of ”Portraits Of My Soul”  NFT’s,  each owner will be entitled to the said proportionate amount.

5. DISCLAIMER AND WARRANTIES

ANY THIRD PARTY THAT ARISE IN CONNECTION WITH THE SITES OR SERVICES RESULTING FROM  TO YOU BY ”Portraits Of My Soul”  SERVICES, WHETHER ON-LINE OR OFF-LINE; OR ANY OTHER MATTER  ARISING FROM, RELATING TO OR CONNECTED WITH ”Portraits Of My Soul”  SERVICES OR THESE TERMS  (OR THE TERMINATION THEREOF FOR ANY REASON). 

8. REMEDIES 

• All rights and remedies in case of violation of the terms of use and / or any related terms are  limited to monetary compensation for the amount of the purchase of the first owner and even  after such an obligation is determined in a final judgment and decided by the competent court.  You will not be entitled to any other compensation. You also declare that in any case you will  not be entitled to any compensation in any type of claim such as a class action and / or a joint  action and you can only submit statement of claim as an individual. 

8. ARBITRATION 

• Because ”Portraits Of My Soul”  believes that resolving disputes arising from these Terms of Use  should be resolved pleasantly and without involvement of legal system, to the extent that after  receiving notice and attempting to resolve the dispute directly there will still be disputes of any  kind and / or type, this dispute will be referred to a mediator.  

• From the moment that one of the parties announces he would like to begin a mediation process, the parties have 30 days to agree on the identity of a mediator. To the extent that the parties fail  to agree on the identity of the mediator, the mediator will be appointed by the Chairman of the  Bar Association of the State of Israel. 

• The parties undertake to conduct a mediation procedure wholeheartedly, willingly and in good  faith. To the extent that such an arbitration proceeding is not successful, then and only then will  it be possible to apply to the relevant court. 

10. GOVERNING LAW 

• This Term of use shell be subject to the laws of the State of Israel or Florida and will be interpreted accordingly.
